Terms and conditions

The terms governing the use of this site and the commercial relationship between G4POS and its resellers.

Last updated:

1. Identification of the seller #

Act respecting the legal publicity of enterprises, CQLR c. P-44.1

The seller is G4PDV Inc., doing business as “G4POS”, Québec enterprise number (NEQ) 1172351042, with its establishment at 100 rue de Singapour, Saint-Augustin-de-Desmaures, Quebec G3A 0P5.

Tax registration numbers: GST 739472496 RT0001 · QST 1224351972 TQ0001.

Phone: 1-888-653-8131 · Email: vente@g4pos.com. G4POS has been established in Québec since 2016.

2. Purpose and scope #

These terms govern access to this site and the wholesale sales made by G4POS to its resellers. By placing an order, the reseller accepts them.

These terms are intended for sales to businesses, mainly resellers, integrators and distributors acting in the course of their business. When G4POS sells to a consumer within the meaning of the Consumer Protection Act, that Act applies and prevails over any conflicting provision of these terms.

G4POS distributes hardware. It supplies no point-of-sale software and no software licence: choosing, installing and supporting the software is the reseller’s responsibility.

3. Language of the contract #

Charter of the French language, CQLR c. C-11, s. 55

The French version of these terms and of all related documents has been made available to you, on conditions at least as favourable, at https://www.g4pos.com/fr/termes-et-conditions.

By continuing in English and by placing an order, you expressly confirm your wish to be bound by this English version.

The parties have expressly required that these terms and all related documents be drawn up in French. In case of any discrepancy between the two versions, the French version prevails.

4. Reseller program and account #

Access to wholesale pricing and priority stock requires a reseller account approved by G4POS. Approval is discretionary.

The reseller is responsible for the accuracy of the information it provides, for keeping it current and for the confidentiality of its credentials. It must notify G4POS without delay of any unauthorized use.

No territorial exclusivity is granted.

Registered account protection: the reseller who is first to register a customer or a project with G4POS is protected for that customer. G4POS does not refer that customer to another reseller.

5. Orders, pricing and currency #

Wholesale prices are communicated to the reseller on its account. They are expressed in Canadian dollars and may change without notice; the applicable price is the one in force when the order is accepted.

Every order is an offer to purchase: it binds G4POS only once accepted, and remains subject to stock availability.

Obvious pricing or description errors do not bind G4POS, which may then cancel the order and refund the reseller in full.

6. Taxes and resale exemption #

Prices are exclusive of taxes. GST and QST, and any other applicable tax, are added to the invoice.

A reseller purchasing for resale and claiming an exemption must provide G4POS with its valid registration numbers and any certificate required by the tax authorities, and must notify it of any change. Failing that, taxes are charged.

Invoices and similar documents are drawn up in French, in accordance with s. 57 of the Charter of the French language.

7. Payment terms #

Every order is payable upon receipt of the invoice. No credit limit is granted. Accepted payment methods: bank transfer, Interac e-Transfer, credit card, pre-authorized debit (PAD) or cheque. Any overdue balance bears interest at 2% per month (24% per year).

G4POS may suspend performance of a pending order for as long as a balance is overdue.

8. Delivery, transfer of risk and title #

Art. 1745 C.C.Q.

Inventory is warehoused in Québec and shipped from the province. G4POS publishes no numeric lead time on this site: the lead time and the cost depend on the model, its availability and the destination, and are confirmed when the order is placed. Any date given on that occasion is indicative, unless otherwise agreed in writing.

Risk of loss and deterioration passes to the reseller when the goods are handed to the carrier (FOB origin).

G4POS reserves title to the hardware until the price is paid in full, in accordance with art. 1745 of the Civil Code of Québec.

Any claim for missing or damaged goods on receipt must be reported in writing within 5 business days of delivery.

9. Warranties #

Arts. 1723, 1726, 1730 and 1733 C.C.Q.

Hardware distributed by G4POS carries the warranty of its manufacturer, for a term of one year unless another term is stated on the product page or on its brand page. G4POS offers no contractual warranty of its own.

That manufacturer’s warranty is in addition to, and does not replace, the legal warranties provided by the Civil Code of Québec, in particular the warranty of ownership (art. 1723) and the warranty of quality (arts. 1726 and following).

As a wholesaler, G4POS is bound to the warranty of quality in the same manner as the seller (art. 1730 C.C.Q.). It may not exclude or limit that warranty in respect of defects it knew or could not have been unaware of (art. 1733 C.C.Q.). Nothing in these terms operates to set aside those warranties.

The warranties do not cover damage resulting from improper use, modification, faulty installation or an event of superior force.

10. Returns and replacements (RMA) #

G4POS coordinates returns and replacements for its resellers. The procedure is opened with the team, at 1-888-653-8131 or vente@g4pos.com, and every return requires prior authorization; a return received without authorization may be refused.

Non-defective hardware cannot be returned or exchanged. A defective product is handled under the manufacturer’s warranty and the legal warranties described in section 9, after prior authorization. Defect reporting window: 30 days after its discovery, during the manufacturer’s warranty.

This procedure is an operational mechanism. It does not restrict the legal warranties described in section 9, and a term that was not brought to the reseller’s attention before the order cannot be set up against it.

11. Responsibilities #

G4POS supplies hardware. The reseller remains responsible for the choice of software, for installation, configuration, training and service to its end clients.

12. Intellectual property and trademarks #

Trademarks Act, R.S.C. 1985, c. T-13

The content of this site (text, images, layout, downloadable documents) belongs to G4POS or to its licensors and may not be reproduced for commercial purposes without written authorization.

The LRS mark, and any other third-party mark appearing on this site, belongs to its owner and is used in connection with the distribution of its products. Its presence grants no licence.

The reseller may use the G4POS mark and visuals only within the scope agreed in writing with G4POS, and must cease all use at the end of the relationship.

13. Resale conditions and price confidentiality #

Wholesale prices, margin sheets and commercial documents provided to the reseller are confidential. The reseller does not disclose them to a third party and does not publish them.

The reseller sets its resale prices freely. It is responsible for complying with the laws applicable to its own sales, in particular regarding consumer representations, the language of display and warranties.

The reseller may not hold G4POS out as its mandatary, nor make any commitment on behalf of G4POS.

14. Superior force #

Art. 1470 C.C.Q.

Neither party is liable for the non-performance of an obligation caused by an event of superior force within the meaning of art. 1470 of the Civil Code of Québec, in particular a supply failure at a manufacturer, a labour dispute, a natural disaster, a major network outage or a government measure.

The affected party notifies the other without delay; performance deadlines are suspended for the duration of the event.

15. Suspension and termination of the account #

G4POS may suspend or close a reseller account in the event of an overdue balance, inaccurate information, breach of these terms or fraudulent use of the site.

Either party may end the relationship at any time by written notice. Orders already accepted remain governed by these terms and amounts owing remain payable.

16. Amendment of these terms #

Arts. 1435, 1437 and 1439 C.C.Q.

G4POS may amend these terms. The version applicable to an order is the one published on this page when the order is placed.

17. Governing law #

Art. 3111 C.C.Q. · Vienna Convention, art. 6

These terms are governed by the laws in force in the province of Québec and by the federal laws of Canada applicable there.

The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.

18. Personal information and contact #

The processing of personal information is described in the Privacy policy, which forms an integral part of these terms.

For any question about these terms: vente@g4pos.com or 1-888-653-8131.
